Clementine Wolcott, in a black suit with her arms folded, against a brown backdrop

Clementine Wolcott

Founding partner

Forms companies and acts as their general counsel, by the month.

Clementine founded the firm after years of corporate work at larger firms, where she saw founders pay for the same advice twice. She now forms companies for owners who intend to run them for a long time, and serves as outside general counsel to a handful of them. Clients describe her drafts as short. She takes that as the compliment it is.

How Clementine works

The first draft of an operating agreement is the cheapest place to settle a disagreement between founders, so I spend most of a formation on the conversation before it. I ask each owner the same questions separately: what they are putting in, what they expect back and what would make them want out.

As general counsel I would rather hear about a contract before it is signed than after. The standing call exists so that nobody has to decide whether something is worth a lawyer's time.
