Fees

How the fee is set

Every matter we take has a written fee before work starts. The work we do most is a flat fee; a matter outside it is quoted on the first call.

  • Forming a company

A governing agreement and the filings, for up to four owners. Each owner beyond four adds a little for the extra conversations and signature pages.

  • Selling a company

A letter of intent, then diligence through closing, each phase with its own flat fee. The size of the deal moves it; under ten million dollars is quoted as standard.

    • Up to three rounds of terms on the letter of intent

    • Purchase agreement and closing

  • Disputes

A review and letter, then mediation if it's needed, each with a flat fee. Court, if it comes, is priced by phase before it begins.

    • A written assessment

    • Preparation, a day's session and the settlement

  • General counsel

One monthly fee for contracts, governance and people, month to month on thirty days' notice.

Filing fees, the mediator's fee, escrow agent fees and court costs are separate and billed at cost.

What is in a fee, and what is not

  • Always in the fee

    • All of the responsible lawyer's time

    • Calls and email, however many

    • Rounds of comments named in the letter

    • Copies and the closing binder

  • Never in the fee

    • State filing and court fees

    • Mediator and escrow agent fees

    • Tax and accounting advice

    • A new phase you haven't approved
